Know the private-company timeline

For a private company: hold the AGM within 6 months after financial year end, and file the annual return within 7 months. Companies can dispense with physical AGMs by written resolution, and a private company need not hold an AGM at all if financial statements are sent to members within 5 months after year end and no member requests one.

  • Late annual returns attract escalating ACRA penalties and can lead to officer disqualification when chronic.
  • The annual return restates registered facts — officers, shareholders, capital, financial statements — so stale registers make the filing wrong before you start.

Generate the statutory financial statement pack

Finance → Statutory Pack freezes the year’s report snapshots into a versioned pack: financial statements, disclosure skeletons, the XBRL lane decision, and audit-exemption facts.

  1. Select the entity and statutory reporting period, then generate the pack.
  2. Review the audit-exemption check: a “small company” (2 of: revenue ≤ S$10m, assets ≤ S$10m, ≤ 50 employees) is audit-exempt; the pack records which limbs pass.
  3. Review the XBRL lane: smaller non-publicly-accountable companies file Simplified XBRL plus a signed PDF; others need Full XBRL.
  4. Resolve any XBRL validation errors and regenerate — the pack refuses to render invalid XBRL.
  5. Circulate the director-review pack and capture approval before the AGM step.

Expected result: A versioned, validated statement pack whose numbers are frozen — later ledger edits cannot silently change what the directors approved.

Run the AGM or written resolutions

Business Admin → Corporate Secretarial generates the resolutions and minutes from your real registers — directors, members, and the approved statement pack.

  1. Generate the AGM notice or written-resolution set from the template library; the documents number and version themselves in the register.
  2. Adopt the financial statements, re-appoint or change officers, and record any dividend declaration.
  3. Collect signatures and store the executed documents against the resolution record.
  4. Update officer or shareholder changes in Corporate Secretarial so the annual return states current facts.

File the annual return on Bizfile

The legal filing happens on Bizfile with Corppass. The platform’s Filings queue tracks the obligation and holds your evidence.

  1. Open Finance → Reports → Filings and Prepare the annual return row; blockers surface missing pack or register facts.
  2. Sign in to Bizfile, start the annual return, and confirm company details against Corporate Secretarial — they should match exactly.
  3. Attach or key the XBRL financial statements in the lane the pack determined.
  4. Declare the AGM date (or the exemption/dispensation basis), pay the filing fee, and file.
  5. Mark the row filed and attach the Bizfile acknowledgement and receipt.

If registered facts changed during the year (officers, address, share transfers), those are separate Bizfile filings with their own deadlines — the annual return is not the vehicle for catching up.

Troubleshooting

  • XBRL validation fails: fix the underlying mapping in the statutory pack and regenerate; do not hand-edit XBRL output.
  • Bizfile shows different officers than Corporate Secretarial: a past change was never filed — file the change first, then the annual return.
  • Missed the deadline: file as soon as possible and pay the late fee; chronic lateness escalates to enforcement.
